Board composition

There are currently 6 directors on the Board, of whom 5 are non-executive directors. Refer to the director profiles page for information about Western Power’s current directors.

Directors are appointed by the Governor of Western Australia following nomination by the Minister. In making nominations the Minister is required to consult with the Board. The Board may also recommend new directors to the Minister if a board vacancy occurs.

Non-executive directors are appointed for a period of up to 3 years and are eligible for reappointment. The Governor may at any time remove a director (including the Board Chair, or Deputy Chair) from office without needing to give a reason for doing so. Unless a director resigns earlier or is removed from office, he or she continues in office until his or her successor commences as a director, even if the period for which he or she was appointed has expired.

The Board has established a People & Performance Committee, which reviews the size and composition of the Board and the mix of existing and desired competencies across members, and reports its conclusions to the Board. This review is done annually.

In assessing the composition of the Board, the directors have regard to the following criteria:

  • the chair and the deputy chair must be, independent, non-executive, directors;
  • the role of the Board chair and the CEO cannot be filled by the same person;
  • the CEO is to be resident in, or near, the town in which Western Power’s head office is located;
  • the majority of the Board should comprise independent directors; and
  • the Board should have the required blend of qualifications, experience and expertise.

The People & Performance Committee also regularly evaluates the range of skills, experience and expertise that will best complement Board effectiveness, with a view to ensuring that it has a proper understanding of, and the competence to deal with, the current and emerging issues of Western Power's business. A plan for identifying, assessing and enhancing director competencies is in the process of being implemented.

As a minimum, the committee will conduct this evaluation annually to ensure that the Board composition and director competencies are optimally aligned with Western Power's prevailing strategic direction. The committee will also conduct this evaluation whenever it becomes apparent that there will be a vacancy on the Board.
